General Terms and Conditions of Sale: Individuals (B2C)

Version for online acceptance prior to account creation / order.

1. Purpose and scope

These General Terms and Conditions of Sale ("Terms") govern sales concluded between Moonlight Community and any individual customer acting as a consumer via the Moonlight website.

They apply to any account creation, browsing and order. The customer must accept them before validating their first order and, where applicable, when creating their customer account.

Validating an order constitutes full and unconditional acceptance of these Terms.

2. Seller identification

Administrative information may be updated in the event of a change in legal structure, in particular when converting to an EURL, without affecting the validity of the accepted Terms.

3. Products, information and recommended use

The products offered are those presented on the site on the day of consultation, subject to availability. Essential characteristics, composition, formats, precautions for use and usage recommendations appear on the product pages or related materials.

Moonlight may recommend a use, frequency, dose, portion or precautions for use depending on the product category. These recommendations must be strictly followed by the customer.

Moonlight cannot be held liable for the consequences of excessive, misused or inappropriate use, use that does not comply with the recommendations, or use contrary to the precautions stated on the product or on the site.

The products are not medicines and are not presented as intended to diagnose, prevent, treat or cure any disease.

4. Availability

Product offers are valid as long as they are visible on the site and subject to availability. In the event of unavailability after an order is placed, Moonlight will inform the customer as soon as possible and will, as applicable, fully or partially cancel the order and issue the corresponding refund.

5. Orders

The customer selects the products, reviews their cart, provides the necessary information, accepts the Terms and completes payment using the methods offered on the site.

The order is deemed formed at the time payment is validated, subject to actual product availability and the absence of any legitimate grounds for refusal.

Moonlight may refuse or cancel an order in the event of unavailability, an obvious error, suspected fraud, a payment incident, an unusable address, an abnormal order, or a prior breach by the customer.

6. Price and payment

Prices shown are in euros, all taxes included. Unless otherwise stated, they include shipping costs for mainland France.

Payment is due in full at the time of order, via the secure Stripe payment solution or any other method offered on the site. The order is only processed once payment has been successfully validated.

7. Delivery

Delivery is provided to mainland France only, at the address indicated by the customer. Orders are prepared and shipped by Moonlight's logistics partner.

The estimated delivery time is two to three business days from order validation, barring exceptional circumstances.

The customer is responsible for the accuracy of the delivery information provided. Moonlight cannot be held liable for a delivery failure caused by an incorrect, incomplete or unusable address.

8. Receipt, withdrawal and returns

The customer must check the apparent condition of the package and products upon receipt and promptly report any relevant issue by email, including the order number and any available supporting evidence.

In accordance with consumer law, the customer has fourteen days from receipt to exercise their right of withdrawal, without having to justify their decision.

Returns must be sent to: La Log, Claire Charles, Moonlight Returns, Avenue de l'Argonne, 33700 Mérignac, France.

In the event of withdrawal, return shipping costs remain the customer's responsibility. The refund is issued to the original payment method under the applicable legal conditions.

9. Non-conforming, defective or damaged products

In the event of a non-conforming, defective or damaged product, the customer must contact Moonlight by email with their order number, a description of the issue and any relevant supporting evidence.

Whenever possible, Moonlight favors replacing the product concerned. Failing that, a refund will be issued under the applicable conditions.

10. Legal warranties

Products sold benefit from the applicable legal warranties, in particular the legal warranty of conformity and the warranty against hidden defects. Moonlight does not, at this stage, offer any separate commercial warranty in addition to the legal warranties.

11. Liability

Moonlight is liable within the limits set by applicable law. Its liability cannot be engaged in the event of misuse of the product, failure to follow recommended dosages, uses or precautions, excessive use, misuse, alteration of the product after delivery, or any act attributable to the customer or a third party.

Subject to mandatory legal provisions, Moonlight can only be held liable for direct and foreseeable damages resulting from a proven breach.

12. Intellectual property

All elements of the Moonlight website and materials, including but not limited to text, visuals, photographs, logos, trademarks, graphics, documents and content, are protected by applicable intellectual property rights. Any unauthorized reproduction or use is prohibited.

13. Evidence, communications and record-keeping

Computerized records, order confirmations, emails, payment data and information systems operated by Moonlight or its service providers constitute admissible evidence of exchanges, orders and payments made with the customer.

The customer agrees to the use of email for order confirmation, tracking, customer support and any communication relating to the performance of the contract.

14. Complaints, mediation and applicable law

Any complaint must be sent to contact@moonlightco.fr. Moonlight favors an amicable resolution.

In the event of an unresolved dispute after a prior written complaint, consumer customers may refer the matter free of charge to the FEVAD Consumer Mediator, in accordance with the applicable procedures.

These Terms are governed by French law. Failing an amicable agreement, the dispute shall fall under the jurisdiction of the competent courts in accordance with applicable legal rules.

15. Amendments to these Terms

Moonlight may amend these Terms at any time. The applicable Terms are those in effect and accepted on the date the relevant order is validated.

Appendix: Standard withdrawal form

General Terms and Conditions of Sale: Businesses (B2B)

Version for online acceptance prior to the first business order.

1. Purpose and scope

These General Terms and Conditions of Sale for Businesses ("B2B Terms") govern sales concluded between Moonlight Community and any customer acting within the scope of their professional activity.

They apply to any account opening request, business account validation, order, delivery and business relationship with Moonlight.

The business customer must accept these B2B Terms before their first order. They prevail over any other document provided by the customer, unless expressly agreed otherwise in writing by Moonlight.

3. Eligible business customers

B2B sales are reserved for businesses operating within a framework consistent with Moonlight's commercial policy, in particular physical points of sale, specialized shops, retailers, physical distribution networks or other businesses approved by Moonlight.

Businesses whose activity consists exclusively or primarily of online resale are not eligible, unless expressly agreed otherwise in writing by Moonlight.

4. Opening and validation of the business account

Access to business pricing and orders is subject to prior validation by Moonlight. Moonlight may accept, refuse or suspend an account opening request if the information provided is incomplete, inconsistent or incompatible with its distribution policy.

The application file may include: a recent business registration extract (Kbis or equivalent), EU VAT number where applicable, identity of the representative, billing and delivery addresses, information on the point(s) of sale, and a declaration of no unauthorized online resale.

5. Products, information and recommended use

The products offered are those included in Moonlight's commercial offering on the day of the order, subject to availability. Moonlight may change its product range, items, packaging, pricing or commercial offering at any time for the future.

Moonlight may recommend a use, dose, portion, frequency or precautions for use depending on the product. The business customer agrees to comply with this information, to pass it on faithfully to its own customers where relevant, and not to present the products in a manner contrary to their intended purpose or to the information provided by Moonlight.

Moonlight cannot be held liable for the consequences of excessive, misused or inappropriate use, use that does not comply with the recommendations or precautions, or use attributable to the business customer, its staff, its own customers or any third party.

6. Verification of local compliance by the business customer

Moonlight intends to sell its products across Europe. As each country may apply its own rules, restrictions, administrative practices or sector-specific interpretations, the business customer remains responsible for verifying, at the time of purchase and resale, that the products ordered are compatible with the regulations applicable in its country, its industry and its distribution channel.

Moonlight will make reasonable efforts to provide information, notes, product documents or contextual information useful to its business customers. However, this information does not exempt any retailer, distributor or reseller from verifying what it may sell, how it may sell it, and under what local conditions.

The business customer shall not order or resell a product when it knows, or should reasonably know, that the product is not authorized or is not suited to its local sales context.

7. Pricing, minimum order and transitional terms

Unless otherwise stated, prices applicable to business customers are expressed in euros, excluding tax. The applicable pricing is that in effect on the day Moonlight validates the order.

The minimum order amount is set at €250 excluding tax. Moonlight may refuse any order below this threshold, unless otherwise specifically agreed.

On a transitional basis, pending the official launch of the site and the full implementation of the ordering process, Moonlight may accept orders below this amount, without this creating any acquired right for future orders.

8. Orders

Orders may be placed via the business account, the site or any other channel accepted by Moonlight. The order becomes final once validated by Moonlight and payment has been successfully collected, unless otherwise agreed in writing.

Moonlight may refuse or cancel any order in the event of unavailability, an obvious error, suspected fraud, a payment incident, inaccurate information, failure to comply with the distribution policy, serious doubt as to the compliance of the customer's activity, or a prior breach.

9. Payment

Unless otherwise specifically agreed in writing, payment is due in full at the time of order. Payment is made using a method accepted by Moonlight, in particular via Stripe or any other method indicated at the time of order.

No discount is granted for early payment, unless otherwise agreed in writing. Moonlight may suspend any order or delivery until payment has been received in full.

10. Late or non-payment

In the event of late payment, late payment penalties and the fixed collection compensation provided for by applicable regulations become automatically due. Moonlight may suspend ongoing orders, refuse any new order, require advance payment, or terminate the business relationship.

11. Delivery and transfer of risk

Products are delivered to the address agreed with the business customer. Delivery times are provided for information purposes only, unless expressly agreed otherwise.

The business customer is responsible for the accuracy of the delivery information provided. Unless otherwise specifically agreed, risk transfers to the customer upon delivery of the products to the customer or to any third party designated by them.

12. Receipt and complaints

The business customer must check the condition, quantity and apparent conformity of the products upon receipt. Any complaint regarding an apparent defect, shortage, damage or apparent non-conformity must be submitted in writing within three days of receipt, together with any relevant supporting evidence.

Failing a complaint within this timeframe, the products are deemed accepted with respect to apparent defects. This clause does not deprive the business customer of any rights it may have with respect to hidden defects under the applicable legal conditions.

13. Returns

No product may be returned without Moonlight's prior written consent. Returns for convenience are not accepted, except by express agreement. Any authorized return must follow the procedure communicated by Moonlight.

14. Retention of title

Moonlight retains ownership of the products sold until full payment of the price, principal and incidental costs included. In the event of non-payment, Moonlight may claim the return of the products concerned, without prejudice to any other action.

15. Resale conditions and prohibition of online sale

The business customer is authorized to resell the products only within the scope of its approved business activity and within its authorized physical distribution network.

Unless otherwise agreed in writing, resale is limited to the business customer's own country. Any cross-border resale, any substantial change to the distribution channel, or any distribution outside the authorized territory requires Moonlight's prior written consent.

Unless expressly authorized in writing in advance by Moonlight, the business customer shall not resell products on any website, marketplace, third-party platform, social network, live shopping channel or any other distance-selling channel or equivalent digital interface.

Violation of this prohibition constitutes a serious breach that may result in immediate account suspension, cancellation of ongoing orders, termination of the relationship and refusal of any future orders.

16. Intellectual property and commercial materials

Trademarks, visuals, photographs, product sheets, text, logos and graphic elements provided by Moonlight remain its property or that of their respective owners. Their use by the business customer is authorized solely within the strict scope of the business relationship and authorized physical resale.

Any unauthorized modification, adaptation, distribution or use is prohibited.

17. Liability

Moonlight can only be held liable for direct damages resulting from a proven breach of its contractual obligations. To the extent permitted by law, indirect losses such as loss of revenue, loss of customers, loss of business, damage to reputation or loss of opportunity are excluded.

The business customer remains solely responsible for storing the products after delivery, reselling them in compliance with applicable rules, the information it provides to its own customers, compliance with usage and dosage recommendations, and compliance with its own regulatory, commercial, tax and administrative obligations.

18. Suspension and termination

Moonlight may suspend or terminate all or part of the business relationship in the event of non-payment, fraud, provision of inaccurate information, failure to comply with the distribution policy, unauthorized online sale, damage to Moonlight's reputation or interests, or a serious breach of these B2B Terms.

19. Confidentiality

The business customer agrees to keep confidential any non-public information provided by Moonlight, including special commercial terms, internal documents, operational data and information identified as confidential or which by its nature requires confidentiality.

20. Force majeure

Neither party may be held liable for any failure or delay resulting from a force majeure event within the meaning of French law. Performance of the affected obligations is suspended for the duration of the event.

21. Governing law, amicable settlement and competent court

These B2B Terms are governed by French law. In the event of a dispute, the parties agree to first seek an amicable solution. Failing an amicable agreement, exclusive jurisdiction is granted to the competent courts of Bayonne, subject to applicable mandatory rules.

22. Amendments to these B2B Terms

Moonlight may amend these B2B Terms at any time. The applicable B2B Terms are those in effect and accepted on the date the relevant order is validated.
